Terms of Service
Please read these Terms carefully before using Milaan. By creating an account or uploading any file, you agree to be bound by these Terms. If you do not agree, do not use the service.
1. Definitions
- "Milaan," "we," "us," "our" — the Milaan platform and its operators.
- "You," "User" — the Chartered Accountant, tax professional, or firm that creates an account.
- "Client Data" — any financial documents, transaction records, PAN/GSTIN identifiers, or other information you upload on behalf of your clients.
- "Service" — the web-based reconciliation platform at milaan.in, including the upload pipeline, AI extraction engine, reconciliation reports, and all associated features.
2. Eligibility
The Service is intended for use by licensed Chartered Accountants, tax consultants, and accounting professionals in India. By registering, you represent that:
- You are at least 18 years of age.
- You have the legal authority to act on behalf of your clients and to upload their financial data.
- You have obtained any consent required from your clients before uploading their documents, including consent to third-party AI processing as disclosed in our Privacy Policy.
3. Account Registration and Security
You must register with a valid email address and a password of at least 8 characters. You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at legal@milaan.in if you suspect unauthorised access to your account.
One account corresponds to one CA or firm. You may not share your account credentials with other individuals or use Milaan to serve clients of another firm without their knowledge.
4. Description of Service
Milaan provides the following features:
- Upload and AI-powered extraction of bank statements (PDF, image, Excel, CSV formats).
- Parsing of Tally export files (sales and purchase registers).
- Import and display of GST return data (GSTR-1, GSTR-3B, GSTR-2A).
- Three-way reconciliation: Tally sales vs. GST vs. bank credits, with variance flagging.
- Export of reconciliation reports.
Milaan is a reconciliation and variance-detection tool. It is not a tax filing platform, legal advice provider, or substitute for professional CA judgment. The output of any reconciliation must be reviewed by you before being relied upon for filing or advising a client.
5. Acceptable Use
You agree not to:
- Upload documents belonging to clients who have not authorised you to do so.
- Use the Service to process data for purposes other than legitimate tax and accounting engagements.
- Attempt to access another user's data or reverse-engineer the platform's extraction logic.
- Upload malicious files, or files designed to exploit the AI extraction pipeline.
- Use automated scripts to make bulk API calls that exceed reasonable usage for a single CA practice.
- Resell or sublicense access to the Service without written permission.
Violation of these terms may result in immediate account suspension and, where applicable, reporting to relevant authorities.
6. Client Data and Your Responsibilities
You are the Data Fiduciary for all Client Data you upload. Milaan acts as your Data Processor. This means:
- You are responsible for obtaining valid consent from your clients before uploading their bank statements or financial records.
- You must inform clients that their documents may be processed by Google's Gemini AI API for data extraction, as disclosed in our Privacy Policy.
- You are responsible for the accuracy of any document you upload. Milaan's extracted output is only as reliable as the source document.
- You must not upload documents that you do not have the right to process.
7. AI Extraction — Accuracy Disclaimer
Milaan uses Google's Gemini API to extract transactions from bank statements. While we have built robust extraction prompts and confidence scoring, AI-based extraction is not infallible. Documents that are blurred, partially cut off, in unusual formats, or in regional languages may produce incomplete or inaccurate results.
Every extraction includes a confidence score. Extractions below the confidence threshold (default: 75%) are surfaced to you for manual review. You must verify low-confidence extractions before relying on them in a client report.
Milaan is not liable for errors in a reconciliation report that arise from AI extraction inaccuracies, provided the confidence score was surfaced and the User proceeded without manual review.
8. Intellectual Property
Milaan and its underlying technology, including extraction prompts, reconciliation logic, UI design, and branding, are the intellectual property of Milaan's operators. You may not copy, modify, or distribute any part of the Service.
Client Data you upload remains your property and your clients' property. We claim no ownership over it. You grant Milaan a limited licence to process that data solely for the purpose of delivering the Service to you.
9. Fees and Billing
Milaan is currently in an early-access phase. Billing terms will be communicated separately before any paid features are introduced. We will give you at least 30 days' notice before converting any currently free feature to a paid one.
10. Service Availability
We aim for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, infrastructure events, or third-party API outages (including the Google Gemini API). We are not liable for losses caused by downtime.
11. Termination
By you: You may delete your account at any time. All your data will be permanently erased within 30 days of account deletion.
By us: We may suspend or terminate your account immediately if you breach these Terms, particularly the Acceptable Use policy in Section 5. We will notify you by email except where immediate termination is required to prevent harm.
12. Limitation of Liability
To the maximum extent permitted by applicable Indian law, Milaan's total liability to you for any claim arising from use of the Service shall not exceed the total fees paid by you to Milaan in the 12 months preceding the claim.
Milaan is not liable for: indirect or consequential losses; loss of data caused by you deleting files or records; tax penalties or scrutiny arising from reliance on an unreviewed reconciliation report; or losses arising from a third-party API (including Google Gemini) failure or outage.
13. Indemnity
You agree to indemnify and hold Milaan harmless from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your failure to obtain proper client consent before uploading documents; or (c) your reliance on unverified AI-extracted data in a client engagement.
14. Governing Law and Disputes
These Terms are governed by the laws of India. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India. We encourage you to contact us at legal@milaan.in before initiating any formal proceeding — most issues can be resolved quickly.
15. Changes to These Terms
We will notify you by email at least 14 days before any material change to these Terms. Continued use of the Service after the effective date of any change constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Service and may request account deletion.
